I got 230,000 miles on my tranny. Its a little hessitant shifting, and the TC is easily slipped.

Should I get her rebuilt...or buy one with as low milage as I can find....Its hard finding a low milage phase 1(AWD) 4eat ! :?

I can attest to that, illnasty. I'm trying to find myself an AWD AT, but finding one with low enough miles is difficult to say the least.
The 5MT swap, unfortunately, is just as expensive, to be honest, and there's more work involved, and certainly more time. Check out Josh's writeup on the AWD/5MT swap, he's got a pretty good doc on it.
